The Board of Directors of OKP Holdings Limited ("the Company") wishes to announce that OKP Investments (China) Pte Ltd, a wholly-owned subsidiary of the Company, has invested USD45,000.00 in the capital of a company known as Anhui SIN-HK Management & Consultancy Company Limited ("Anhui SIN-HK") which was incorporated in China with a registered capital of USD180,000.00. The investment represents 25% of the equity in Anhui SIN-HK.

The principal activity of Anhui SIN-HK is to provide technical management and consultancy services.

The investment in Anhui SIN-HK is in line with our corporate strategy of regionalising our core business.

The above investment was funded through internal resources and is not expected to have any material impact on the earnings per share and the net tangible assets per share of the Company for the financial year ending 31 December 2004.

None of the Directors of the Company has any interest, direct or indirect, in the above transaction.
